BLACK MOUNTAIN GHOSTRIDERS A.T.V. CLUB BY-LAWS
ARTICLE 1 - General
Section 1 - Name
The official name of this organization shall be Black Mountain Ghostriders A.T.V. club
Section 2 - Purpose
The organization will serve as a non-profit entity to promote motorized trail riding in a responsible and safe manner; to endorse adventure tourism as a viable economic staple in southeastern Kentucky; to educate the public on proper trail etiquette, safety and care of the environment; and to establish, improve and assist in maintaining trails.
ARTICLE II- Membership
Section 1 - Eligibility
Any individual over the age of eighteen or older of good charcter having an interest in the objectives of the organization shall be eligible for membership.
Section 2 - Dues
Membership dues are payable annually at a rate determined by the board of directors. Dues will be payable annually every March.
Section 3 - Voting
Voting privileges are open to any member in good standing the age of 18 or older.
Section 4 - Termination
A member may resign from the organiation upon written notice to the Board of Directors. Any conduct by a member unbecoming to the organization or its purpose may be expelled by a two-thirds vote of the Board of Directors at a regularly scheduled meeting as long as said member has been provided written notice and opportunity for a hearing.
ARTICLE III - Meetings
Section 1 - Annual Meeting
The annual meeting of the general membership shall be in the month of October.
Section 2 - General Membership Meeting
The organization shall hold regular monthly General Membership meetings.
Section 3 - Quorum
A minimum of 8 club members is needed to substitute a quorum for general membership meetings.
ARTICLE IV - Officers
Section 1 - Determination of Officers
All officers shall serve for a term of (1) calendar year or until their successors assume the duties of office. The officers shall be President, Vice President, Secretary and Treasurer.The officers will be elected at the club's annual meeting in October.
Section - 2 - Duties of Officers
President - The President shall serve as the chief elected officer of the organization. He/she shall preside over all general membership and board of directors meetings. The President shall appoint all committees and sign all documents needing an official signature.
Vice- President - The vice- president shall exercise the powers and authority and perform the duties of the President in the absence or disability of the President.
Secretary - The Secretary shall be responsible for recording minutes of the organization's meetings and be responsible for the correspondence of club news and materials.
Treasurer - The treasurer shall be responsible for the safeguarding of the funds of the organization. Such funds shall be kept on deposit in financial institutions or invested in a manner approved by the Board of Directors.
ALL OFFICERS MUST BE IN ATTENDANCE IN AT LEAST (9) MEETINGS PER YEAR IN ORDER TO RETAIN THEIR OFFICE.
Section- 3 - Vacancies
In the event of vacancy in the office of President, the Vice - President shall serve as acting president for the remaining term of office. A vacancy in any other office shall be appointed by the President.
Section- 4 - Removal from Office
Any officer may be removed by the Board of Directors, with a majority vote, whenever said officer is not fulfilling the duties of his/her role or acts in charcter detrimental to the organization.
ARTICLE V - Board of Directors
Section 1 - Members
The Board of Directors shall be comprised of all elected and (5) other club members.
Section 2 - Election
The election of the (5) Board members shall follow the same time frame as the officers outlined above. The term of the Board members shall be one calender year.
Section 3 - Duties
The duties of the Board of Directors shall be to direct the affairs, set policies, control assets and be responsible for the finances of the Chamber.
ARTICLE VI - Amendments and Fiscal Year
Section 1 - Amendments
The By - Laws may be amended by a majority vote of the members present at a membership meeting. The proposed amendments must be presented to the members at least one meeting in advance of voting.
Section 2 - Fiscal Year
The fisical year of the organization shall be January 1 to December 31.
